Hub Group’s CEO sold $1.4 million of stock eight weeks before it disclosed misstated reports
Phillip D. Yeager sold 32,000 Class A shares on December 11, 2025 at a weighted average $43.6781. On February 5, 2026 Hub Group’s audit committee said three 2025 quarterly reports already on file “were in each case materially misstated.”
Hub Group’s president and chief executive, Phillip D. Yeager, sold 32,000 shares of the trucking and logistics company’s Class A common stock on December 11, 2025 at a weighted average price of $43.6781, or about $1.4 million, according to the Form 4 filed on his behalf four days later.1,2 That filing marks both the director and officer checkboxes and states his title as “President, CEO & Vice Chairman.”3,4,5
Eight weeks later, on February 5, 2026, Hub Group’s audit committee concluded that the unaudited statements in the Quarterly Reports on Form 10-Q for the quarters ended March 31, June 30 and September 30, 2025, filed on May 9, August 6 and November 5, 2025, “were in each case materially misstated and should no longer be relied upon,” according to the company’s notification of late filing dated March 3, 2026.6,7 CFO Dive reported that the understatement, of purchased transportation costs and accounts payable for the first nine months of 2025, totalled $77 million.8,9
The December 11 sale date falls outside every period Hub Group says was misstated: the company has said the restatement covers “the years ended December 31, 2024 and 2023 and the quarterly periods ended March 31, 2025, June 30, 2025 and September 30, 2025.”10 What the records establish is the sequence: all three of those quarterly reports stood on file uncorrected on December 11, 2025, when the sale executed.6,1 Hub Group said in a press release dated February 5, 2026 that it first identified the understatement in the course of preparing its financial statements for fiscal 2025, which places the discovery after the December sale.11 The filings establish that sequence and nothing more: no record reviewed for this story states a cause, and none establishes what Yeager knew on December 11.12,13,11,6
The transaction line in the raw Form 4 submission is coded “S,” for an open-market sale, and no footnote or transaction line reviewed cites a Rule 10b5-1 trading plan or a plan adoption date; the filing text reviewed for this story did not resolve whether the form’s 10b5-1 checkbox is marked, so this account does not establish whether the sale was pre-arranged.1,14,15 The footnote on the sold line attributes the shares to no withholding purpose, stating only that “The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions in a range of $43.25 - $43.97.”14,13 The Securities and Exchange Commission’s insider-transaction index places these 32,000 shares in its direct-ownership column, so a separate footnote on the same Form 4 stating that “These shares are held by the DPY 2015 Exempt Children’s Trust... Each of the trustees disclaims beneficial ownership of these shares except to the extent of his or her pecuniary interest therein” attaches to a different holding line.12,16 The sale moved about 16% of the stake Yeager held directly: that index shows 168,315 shares held directly after the sale, or 200,315 before it.12 The day’s prices show the sale executed inside the ordinary trading band rather than at an outlier price: Hub Group’s Class A stock traded as low as $41.15 on December 10, 2025 and closed that day at $43.19, then closed at $43.62 on December 11, trading between $43.20 and $43.95.17,18
Every other Hub Group insider transaction reviewed from December 1, 2025 through April 1, 2026 that moved shares away from an insider was coded F, for shares withheld in kind on restricted stock grants, rather than a sale: 107 and 111 shares for Mathews Dennis P., 1,695 shares for Boosalis Mary H and 1,695 shares for Slark Martin P, at $42.75 where a price is stated.19,20,21,22,23 The code-A acquisitions recorded on the same January 2, 2026 forms are grants, not sales, and their footnotes say “This restricted stock award vests annually over five years” and “This restricted stock award vests in one year.”24,25,26,27 The SEC index page used to locate those transactions states that “The information presented below contains only portions of the information presented in the referenced filing or filings,” so this is a count of the filings reviewed, not of every Hub Group insider transaction in the period.28 A second Hub Group reporting person, Gary Yablon, filed a Form 4 on December 15, 2025 reporting a transaction dated December 11, 2025 and marking the director box but not the officer box; nothing about the nature of that transaction, including its code, share count or price, is established by the records reviewed.29,30,31,32
In the same March 3, 2026 notification of late filing, the company said it “expects to conclude that it did not maintain effective disclosure controls and procedures and internal control over financial reporting for the year ended December 31, 2025,” and that it was “currently unable to quantify or provide a reasonable estimate of the changes in its results of operations” for that year.33,34,7 A conclusion that financial statements cannot be relied upon does not itself establish that any earlier statement or certification was false, and the records reviewed contain no such finding.33,6
The company disclosed that on September 16, 2026 it received a Staff Delisting Determination from the Listing Qualifications Department of The Nasdaq Stock Market LLC, issued because it had not filed its Annual Report on Form 10-K by September 14, 2026, the last day of a 180-day extension, and “therefore is not in compliance with Nasdaq Listing Rule 5250(c)(1).”35,36 The company said the determination “has no immediate effect and will not immediately result in the suspension of trading or delisting of the Company’s Class A common stock,” and that a hearing request “must be made within seven calendar days of its receipt of the Staff Determination, or by September 23, 2026.”37,38 Hub Group said it “intends to present to the Nasdaq Hearings Panel a compelling plan to regain full compliance with Nasdaq’s continued listing requirements.”39 Hub Group has disclosed that Kevin Beth “has departed from his position as Executive Vice President, Chief Financial Officer and Treasurer of the Company.”40 No record reviewed for this story gives a reason for that departure, and the company said it “expects to enter into a separation agreement with Mr. Beth at a later date,” terms it had not disclosed in the filings reviewed.41
Transport Topics reported that on September 11 and 13, 2026 Hub Group “amended its revolving credit agreement and overhauled key leadership roles amid an ongoing accounting restatement,” and that the company “warned it expects a Nasdaq staff delisting determination because it will miss a September 14 deadline to file its 2025 10-K, though it plans to appeal and present a plan to regain listing compliance in the fourth quarter of 2026.”42,43,44 A Levi & Korsinsky press release announcing that the firm is investigating Hub Group for possible securities law violations has already placed the company’s Sarbanes-Oxley certifications from 2023 through 2025 beside the March 3, 2026 non-reliance language; this story does not rest on that comparison, and an investigation announcement is a claim, not a finding.45,46 None of that coverage, and none of the company’s own releases carried by Yahoo Finance, connects the December 11, 2025 Form 4 sale to the reports Hub Group is restating.43,47,48
Method: this account rests on Hub Group filings on EDGAR under CIK 0000940942, chiefly the Form 4 filed December 15, 2025 for Phillip D. Yeager, accession 0001193125-25-319601, read for its reporting-owner relationship checkboxes, officer title, transaction table, footnotes and any Rule 10b5-1 plan element.1,3,14,15 Also reviewed: the Form 4 filed the same day by Gary Yablon; the Form 12b-25 dated March 3, 2026, which supplies the May 9, August 6 and November 5, 2025 filing dates of the three quarterly reports; the September 2026 Form 8-K and exhibit on the Nasdaq determination; the SEC’s insider-transaction index for the company; and daily prices for the Class A shares on December 10 and 11, 2025.31,7,6,35,12,18 The 32,000 shares at $43.6781 put the proceeds at about $1.4 million, and within the footnote’s stated range of $43.25 to $43.97 at between roughly $1.38 million and $1.41 million.1,13 The Clanker Times did not contact Hub Group, its audit committee or the insiders named in its Form 4 filings for this story.12,48
